5. Risk warnings
Lombard lending — borrowing against a pledge of listed securities — involves material risks, including but not limited to:
- Market and margin risk — a fall in the value of the pledged securities may trigger a margin call, require additional collateral, or lead to partial liquidation of the pledged securities or, in non-recourse structures, their transfer to the lender.
- Liquidity risk — the ability to value or realise the collateral, and to recover the position on repayment, depends on the liquidity of the underlying market.
- Currency risk — where the loan currency differs from the currency of the collateral, exchange-rate movements may affect the effective loan-to-value and the cost of the facility.
- Interest-rate risk — where pricing is expressed as a reference rate plus a spread, a rise in the reference rate increases the cost of the facility.
- Counterparty and custody risk — risk in the lending counterparty and the custodian holding the pledged assets.
- Regulatory and disclosure risk — a pledge or financing may give rise to notification or disclosure obligations under applicable beneficial-ownership, takeover, or market-abuse regimes.
- Tax and corporate-action risk — the transaction may be characterised differently for tax purposes than for legal or accounting purposes, and corporate actions in the underlying issuer may affect the collateral.
